The market gap

Deals that fall between two stools: too small for advisers, too serious for classified-ad sites

Businesses worth anywhere from a few hundred thousand to a dozen or so million złoty currently have nowhere in Poland to go through the whole sale process safely. Firmatch combines a deal-matching board with process software that until now was only available on large transactions.

Advisers: 3–10% of the value plus an upfront retainer

M&A boutiques and the Big Four rarely go below a few million złoty. For a micro business, the cost of the process can exceed 20% of the sale price.

Classified-ad sites: noise and no confidentiality

A ‘business for sale’ ad is seen by employees, customers and competitors alike. No vetting of listings, no verification of buyers and no support after the first contact.

The process takes 6–18 months and often falls apart

A new generation of buyers expects a digital-first process: data rather than promises, and asynchronous communication rather than phone calls and meetings at a law firm.

Our answer

One process, one place: anonymous teaser, NDA and e-signature, a valuation based on verified data, an offer builder, a virtual data room and due diligence carried out by AI agents. No advisory, no brokers, and a success fee only when the deal completes.

Investor database

Buyers with a mandate, not casual browsers

Funds consolidating fragmented sectors, strategic investors, search funds and managers moving on from corporate careers. Each one passes KYC checks and confirms their source of funding. The platform automatically matches new teasers to mandates – prospecting happens in the background.

Valuation

What is your business worth? An indicative valuation in 60 seconds

Answer eight questions about the finances and nature of your business, and the platform will calculate a value range using the multiples method, adjusted for the typical risks of small businesses. You’ll get the result and a report once you create a free account – every valuation feeds our transaction database, bringing the multiples ever closer to real prices in the Polish market.

Data verification

Verified data – whether or not the company is in the KRS

Not every business files financial statements with the KRS (National Court Register) – sole proprietorships and civil-law partnerships have no financials there. So once the NDA is signed, we pull data from the right source: automatically from the KRS for registered companies, and from owner-authorised sources for sole proprietorships and partnerships. We show the buyer the level of confirmation, not raw files.

Registered companies (KRS)Financial statements, entries from the Court and Commercial Gazette (MSiG), the National Debtor Register (KRZ) and the Central Register of Beneficial Owners (CRBR) – pulled automatically and cross-checked against the teaser.
Sole proprietorships and civil-law partnershipsData confirmed by the owner from trustworthy sources – business bank-account history (open banking), invoices from the national e-invoicing system (KSeF) and tax files (JPK/SAF-T, tax returns, no-arrears certificates from the tax office and social security).
AI checks consistency. Bank inflows, JPK turnover, the tax return and the invoices all have to match. Discrepancies show up straight away.
Identity verified→Financials confirmed by bank→Financials confirmed by tax documents

More confirmation means higher trust and better listing visibility.

At every stage you see only what is needed: ranges in the teaser, aggregated results after the NDA, full data in the data room. You decide who unlocks them, and when.

The real numbers

We show what the business really earns – after stripping out owner-related costs

In a small company the owner and the management are the same person, so the accounts often carry costs that would disappear after a change of ownership: a family car, personal expenses, one-off costs. The normalisation wizard walks you through these items and calculates the adjusted result (adjusted EBITDA) – the basis for the valuation and the number the buyer works with.

1 · AdjustmentsYou flag the adjustments: owner and family salaries, cars and leases, personal expenses, one-off costs, related-party transactions.
2 · EvidenceYou attach evidence for each item.
3 · BridgeThe platform builds a bridge from the book result to the adjusted result – clear for both sides.
Every adjustment is described and documented. The buyer sees it clearly and can accept it or ask about it – the same as with advisers, only organised and faster. AI suggests possible adjustments from your data; the decision is always yours.
Process builder

Nine steps from intent to signing – all in one place

The platform guides both parties through a structured deal process. Every step has its own wizard, documents and checklist. Nothing gets lost in email threads, and both sides always know what stage the deal has reached.

AI agents

Due diligence that takes days, not weeks

Specialised AI agents read the documents in the virtual data room, check them against a checklist of typical small-business risks and prepare a report with red flags and recommendations for the contract. One rule applies: AI flags, people decide.

Phase I – MVPData room completeness check, verification of key KRS data, a risk checklist and feedback for the seller before DD begins.
Phase II – DD agentsAutonomous agents: financial, legal, tax, HR, commercial and environmental. The DD report is mapped onto SPA provisions.
Phase III – completionSPA builder comparing both parties’ versions, qualified e-signature, settlement with escrow and earn-out.
After closing

The whole deal in black and white – every document and conversation in one file

Everything happens on the platform: conversations, questions and answers, shared documents, offers and successive contract drafts. When the deal closes, both sides receive a sealed file with the full, time-stamped history – what was disclosed and when, who asked what, and how the negotiation unfolded.

What the file contains
  • Full chat and Q&A history.
  • A register of shared documents and their versions.
  • The history of offers and contract drafts.
  • An access log: who opened or downloaded what, and when.
  • A qualified electronic timestamp (eIDAS) – so the file cannot be altered later.
Why it mattersIt is your protection against later disputes: clear proof of what was shown and what was not. The record covers only what went through Firmatch – which is why it is worth keeping all communication and document exchange in one place.

Video calls – recorded and transcribed with both parties’ consent – will also become part of the record.

Process security

Confidentiality and verification built into every step

Questions

Frequently asked questions from owners and buyers

Will my employees, customers or competitors find out about the sale?

No. Only an anonymous teaser is publicly visible, and a curator checks that it can’t be used to identify you. The name, KRS number and documents are visible only to a verified buyer who has signed an NDA – and you decide who gets access.

What kinds of businesses does the platform handle?

Businesses from across the economy – manufacturing, trade, services, healthcare, transport, IT – worth from a few hundred thousand to a dozen or so million złoty. A deal can involve shares in a company, an entire business or an organised part of one – whatever its legal form, including a sole proprietorship (usually after conversion into a company).

Does the platform replace a lawyer and an adviser?

We don’t provide advisory or legal services. The platform provides the tools: document builders, a data room and AI analysis with risk flags. The parties make the decisions, and at any point you can bring your own lawyer or accountant into the process – they get access to the same data.

How long does a deal take?

Traditionally 6–18 months. A structured process, ready-made templates and our platform’s largely automated DD can cut that to 3–6 months. The biggest time savings come at the NDA, data preparation and due diligence stages.

How do you verify buyers?

Every buyer goes through identity checks (KYC/AML), confirms their source of funding and describes their investment mandate. The seller sees the buyer’s profile before accepting the NDA request.

How much does it cost and when do I pay?

Registration, the profile, teaser, valuation and NDA are free. The virtual data room needed at the due diligence stage is charged separately – we’ll publish its pricing before the full version launches. The success fee is 1% from the seller and 1% from the buyer, payable only on completion.

When will the platform be available?

We’re preparing a pilot with a first group of sellers and investors. Leave your email address and we’ll be in touch with an invitation – early users will get priority access to the full version and a real say in how it develops.
